General Terms and Conditions
1. General information
The following terms and conditions apply exclusively to all contracts concluded with us. Deviating agreements or subsidiary agreements are only binding if they are confirmed by us in writing.
2. Delivery
We deliver to medical professionals within Germany by parcel service or freight forwarding services (primarily for bulky goods), which are free of charge for orders over € 100, including packaging. For deliveries within Germany, we charge freight costs of € 4.80 for orders under € 100, and an additional minimum quantity fee of € 6 for orders under € 50. The responsibility for goods is then transferred to the customer when the goods are handed over to the carrier.
3. Terms of delivery
An order is considered to have been placed when you receive an order confirmation from us. If you are ordering from us for the first time, we ask you to specify your medical association. We will contact you over the phone and ask for identification to be sent over by fax, containing your doctor’s stamp or trade license. For new customers with no medical affiliation, we only deliver with payment through credit card or Paypal and the order is only valid after receipt of payment, usually emailed to you. The right of prior sale is reserved.
Delivery times and availability of goods stated by us are for guidance only and remain non-binding; subject to prior sale. Possible delays do not entitle the customer to claims for damages. We reserve the right to make partial deliveries if this is advantageous for a speedy processing. Partial deliveries made and invoiced by us are to be settled within the framework of our terms of payment.
4. Prices and payments
In view of the changing economic circumstances, our catalogue prices must remain non-binding. They are net prices, plus the statutory value added tax. Obvious spelling mistakes in our offers do not bind us.The catalogue prices valid at the time of order confirmation shall apply. Unless otherwise agreed, our prices are net, plus the applicable value added tax, payable within 14 days.
5. Reservation of proprietary rights
The delivered goods shall remain our property until final payment (in the case of payments by cheque until they have been cashed). Ownership shall only be transferred upon complete and irrevocable payment, in case of direct debit only after 7 weeks after the end of the quarter.
6. Return of goods
Our goods are medical products, and legal regulations must be observed when taking them back. Provided that the goods are properly delivered, our goods can therefore not be returned for reasons of health protection. This includes also custom-made products, special orders, chilled goods, medicines, sterile articles. For all other articles, we can make an exception after consultation with our customer advisors if the goods are in their original packaging, undamaged and unused. However, for the inspection of the goods we have to charge a handling fee of 10% of the net value of the goods, but at least €10.
7. Place of performance, legal venue
The legal venue and jurisdiction is at the registered office of our company. Orders and deliveries are subject to the law of the Federal Republic of Germany. UN sales law is not applicable.
8. Final provisions
The invalidity of individual provisions of our general terms and conditions shall not affect the validity of the remaining provisions.
